TERMS OF USE

I. Acceptance of Terms

These Terms of Use (the "Terms") apply between you and Errand Dot NG Ltd., including its subsidiaries and affiliates ("Errand Dot NG", "Errand.ng", "we", "us", or "our"), a company registered under the laws of the Federal Republic of Nigeria (RC 1284910), with respect to access to or use of the official website located at www.errand.ng (the "Site"), as well as all associated digital dispatch platforms, API interfaces, and mobile logistics tools.

Before you access or use the Site or tender any consignment for delivery, please carefully read and understand these Terms. By clicking the acceptance button, creating an account, or using the Site/services in any manner, you demonstrate your acceptance to be legally bound by these Terms. If you do not accept these Terms, you shall not access or use the Site or platform.

You may be subject to additional terms or conditions (such as specific Service Level Agreements, Goods-in-Transit Insurance policies, or Cash-on-Delivery Remittance agreements) incorporated herein by reference.

II. Modification of Terms

We reserve the right to update, amend, replenish, expurgate, suspend, or terminate these Terms and your access to the Site or platform ("Updates"), at any time, without prior individual notice. Updates take effect immediately upon posting on the Site. Your continued use of the Site or delivery services following the posting of Updates constitutes your legally binding acceptance of the revised Terms.

III. Content & Intellectual Property

All information, software, computer code, graphs, text, user interfaces, visual interfaces, graphics, images, audio, video, artwork, logos, and trademarks (collectively, the "Content") available on the Site—including the look, feel, design, layout, and structure—are owned by or licensed to Errand Dot NG Ltd.

All Content is protected by applicable Nigerian copyright, trademark, patent, trade secret, and unfair competition laws. Trademarks including "Errand.ng", "Errand Dot NG", "Errand OS", and associated brand assets remain the exclusive intellectual property of Errand Dot NG Ltd.

IV. Limitation on Use of the Site & Logistics Platform

Errand Dot NG Ltd grants you a personal, non-exclusive, non-transferable, revocable, and limited license to access and use the Site and Content strictly for your personal or internal business logistics operations, provided that you comply with these Terms.

You agree that you shall NOT:

• Photocopy, reproduce, redistribute, republish, sell, broadcast, frame, or scrape any Content without prior express written permission from Errand Dot NG Ltd.
• Impose an unreasonably large load on the Site infrastructure, servers, or connected networks.
• Knowingly introduce viruses, Trojans, worms, logic bombs, or other malicious code.
• Attempt to gain unauthorized access to any portion of the Site, user accounts, dispatch databases, or telemetry systems.
• Tender for dispatch any contraband, illegal narcotics, firearms, ammunition, hazardous chemicals, counterfeit currency, or prohibited items.

Any unauthorized use automatically terminates your license without notice. Errand Dot NG Ltd reserves the right to report any criminal or illegal activity to relevant law enforcement agencies (including the Nigerian Police Force, NDLEA, NIPOST CRD) and fully cooperate with such authorities.

V. Accuracy of Information & Rate Estimations

While Errand Dot NG Ltd aims to provide accurate, up-to-date service information, delivery rates, and SLA timeframes across all 36 states, typographical errors, omissions, or obsolete pricing data may occasionally occur. Service quotes generated via our fee estimator tools are estimates based on standard route weight classes and intra-city vs. inter-state linehaul parameters.

Errand Dot NG Ltd reserves the right to modify Content, pricing schedules, or service features at any time without prior notice.

VI. Third-Party Links & Integrations

The Site may incorporate links or integrations to third-party services ("Linked Sites"), including payment processors (such as Paystack, Monnify, Flutterwave), mapping tools, and external merchant portals. Errand Dot NG Ltd does not control, endorse, or assume liability for the availability, privacy practices, or content of such Linked Sites.

VII. Account Security & Doorstep OTP Verification

To access specific features (such as merchant dispatch portals, waybill tracking, or COD bank payout management), you may be required to register an account. You are responsible for maintaining the confidentiality of your account credentials and password.

Doorstep OTP Protocol: For security, high-value parcels, COD dispatches, and corporate documents require One-Time Password (OTP) validation upon doorstep delivery. You agree to safeguard your OTP code and share it only with the authorized dispatch rider upon physical receipt of the parcel.

You agree to notify Errand Dot NG Ltd immediately at info@errand.ng upon discovering any unauthorized use or breach of security regarding your account.

VIII. User Submissions & Waybill Data

You represent and warrant that any information, sender/consignee data, or feedback submitted to Errand Dot NG Ltd ("User Submission") is truthful, accurate, and non-infringing. Your User Submission must not violate consumer protection laws, data protection regulations (including the Nigeria Data Protection Act 2023), or third-party intellectual property rights.

IX. Grant of License on Feedback & Interactive Areas

By submitting feedback, suggestions, reviews, or material to any interactive areas of the Site (such as feedback forms or service reviews), you grant Errand Dot NG Ltd a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute such submissions for operational improvement and marketing.

X. Disclaimer of Warranties

The Site, Content, and services are provided on an "AS-IS" and "AS-AVAILABLE" basis. Errand Dot NG Ltd expressly disclaims, to the fullest extent permitted by law, all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Errand Dot NG Ltd does not warrant that the Site will operate uninterrupted, secure, or error-free, or that server transmissions will be entirely free of viruses or technical defects.

XI. Limitation of Liability

To the maximum extent permitted by law, Errand Dot NG Ltd shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, revenue, data, or business opportunity) arising out of or in connection with your use of the Site, platform, or delivery services.

In any event, the total aggregate liability of Errand Dot NG Ltd for all claims relating to any specific delivery or platform service shall not exceed the total courier fees paid by you for that specific waybill, or the applicable Goods-in-Transit (GIT) insurance claim payout limits as specified in our commercial policy.

XII. Indemnification

You agree to defend, indemnify, and hold harmless Errand Dot NG Ltd, its directors, officers, employees, riders, partners, and agents from and against any third-party claims, liabilities, losses, damages, fines, penalties, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms of Use;
• Your User Submissions or inaccurate waybill declarations;
• Tendering contraband or prohibited items for transportation;
• Any illegal activity or violation of applicable laws undertaken through your account.

XIII. Privacy & Data Protection Compliance

Our Privacy Policy applies to the collection, processing, and storage of personal data via the Site and delivery network, and its terms are incorporated into these Terms. Errand Dot NG Ltd processes personal data in strict compliance with the Nigeria Data Protection Act (NDPA 2023) and GDPR guidelines.

XIV. Applicable Law & Dispute Resolution

These Terms, as well as any dispute, controversy, or claim arising out of or in connection with your use of the Site or services, shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any dispute or difference shall first be submitted to informal resolution through amicable negotiations with Errand Dot NG Ltd management. If unresolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent Courts of Lagos State, Nigeria or the Federal High Court of Nigeria.

XV. Violation of Terms & Account Termination

If you violate these Terms, Errand Dot NG Ltd reserves the right to immediately suspend, restrict, or terminate your account and access to the Site or platform without prior notice.

Errand Dot NG Ltd may disclose information regarding your identity or account activity to law enforcement authorities if required by court order or necessary to investigate unlawful behavior, fraud, or postal regulatory violations under the NIPOST Courier Regulatory Department (CRD) framework.

XVI. Severability & Void Where Prohibited

If any provision of these Terms is held to be invalid or unenforceable under Nigerian law, such provision shall be severed, and the remaining provisions shall remain in full force and effect. Errand Dot NG Ltd operates primarily within Nigeria across 36 states and international shipping corridors; access from outside jurisdictions is undertaken on your own initiative in compliance with local regulations.
